TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HANGRY JOE'S, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, CONTRACTORS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, PERSONAL INJURY, OR PROPERTY DAMAGE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE OUR WEBSITE OR SERVICES, EVEN IF HANGRY JOE'S HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL HANGRY JOE'S'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OUR SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO HANGRY JOE'S IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION REFLECT A REASONABLE ALLOCATION OF RISK AND ARE A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN HANGRY JOE'S AND YOU. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Nothing in these Terms shall limit or exclude liability for fraud, fraudulent misrepresentation, death, or personal injury caused by our negligence, or any other liability that cannot be lawfully limited or excluded under applicable law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Hangry Joe's and its owners, officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees and court costs) arising out of or relating to:

11. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them, their subject matter, or their formation shall be governed by and construed in accordance with the laws of the United States of America and the applicable state laws of the state in which Hangry Joe's is registered and operating, without regard to its conflict of law principles.

Subject to the dispute resolution provisions set forth in Section 12 below, you agree that any legal action or proceeding arising out of or relating to these Terms or your use of our Services shall be brought exclusively in the appropriate federal or state courts located in the United States, and you hereby irrevocably submit to the personal jurisdiction of such courts and waive any objection to venue or jurisdiction in connection with such proceedings.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or our Services by contacting Hangry Joe's in writing at [email protected] and providing a detailed description of the dispute and the relief sought. We will attempt to respond and resolve the matter within thirty (30) calendar days of receiving your notice. Both parties agree to negotiate in good faith to attempt to reach a mutually acceptable resolution.

12.2 Binding Arbitration

If the parties are unable to resolve a dispute through informal negotiation within thirty (30) days, either party may elect to resolve the dispute through binding arbitration. Any arbitration shall be conducted by a recognized arbitration provider, such as the American Arbitration Association (AAA), in accordance with its Consumer Arbitration Rules, as amended from time to time.

The arbitration shall be conducted on an individual basis. You and Hangry Joe's each waive the right to participate in a class action lawsuit or class-wide arbitration, and agree that claims may only be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

The arbitration shall take place in the United States, at a location to be mutually agreed upon, or remotely if both parties consent. The arbitrator shall have the authority to award any remedy that a court of competent jurisdiction could award, subject to the limitations of liability set forth in these Terms.

12.3 Exceptions to Arbitration

Notwithstanding the above, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm or protect intellectual property rights, without waiving the right to arbitration for all other claims.

12.4 Waiver of Jury Trial

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BOTH YOU AND HANGRY JOE'S WAIVE THE RIGHT TO A JURY TRIAL FOR ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES.

13. Term and Termination

These Terms shall remain in full force and effect for as long as you access or use our Website or Services, or maintain an account with Hangry Joe's, whichever is longer. Termination of these Terms does not limit any rights or remedies available to Hangry Joe's under applicable law or these Terms with respect to any breach or violation that occurred prior to termination.
